LYME REGIS ART SOCIETY CONSTITUTION

NAME
The name will be ‘LYME REGIS ART SOCIETY’ ( LRAS )
MEMBERSHIP
This Society will be composed of Members interested in Fine Art and Crafts. The committee has the discretion to award Life Membership.
COMMITTEE
1. The Society will be managed by a Committee whose roles will include: Chair Person, Secretary, Treasurer, and up to 6 other Committee Members, all elected at the Annual General Meeting.
2. Committee Members will serve for 2 years but can offer for re-election.
3. The Committee will elect a Chair Person.
4. Committee can co-opt other members whose services will end at the next AGM.
5. At any meeting, 5 Members will form a Quorum and the Chair Person will have the casting vote.
FINANCIAL YEAR
The Financial Year will be from 1st August to 31st July each year.
ANNUAL SUBSCRIPTIONS
These are determined by the Committee and are due at the 1st meeting of the Society’s Annual Programme.
DEMONSTRATIONS/ WORKSHOPS
1. Demonstrations will be regularly arranged throughout the year.
2. Workshops may be organised at the discretion of the Committee.
EXHIBITIONS
1. At least one Exhibition will be held each year.
2. Exhibitors must be fully paid-up Members having satisfied the Conditions of Entry for each event specifically prepared by the Committee.
3. Commission will be charged on all sales. The rate is determined by the Committee and clearly specified in the Conditions of Entry.
ANNUAL GENERAL MEETING
1. AOB put forward by the Committee or Members must be given in writing to the Secretary 4 weeks prior to the AGM
2. Secretary will give Members 2 weeks’ notice with a suggested Agenda.
3. The Chair Person will report on the Society’s past year’s activities.
4. The Treasurer will submit for approval an overview the past year’s Audited Financial Statement.
5. The Programme Organiser will present a review of the past year’s events.
6. Members can elect or re-elect Officers or Committee Members by a show of hands.
10.12.25 2 7. Constitution amendments may be proposed, seconded and carried by a simple majority.
EXTRAORDINARY GENERAL MEETING
An Extraordinary General Meeting may be called by a minimum of 5 Committee Members. Members will be given at least 2 weeks notice of an EGM. DISSOLUTION OF THE SOCIETY If the members of the committee decide to end the Lyme Regis Art Society, an Extraordinary General Meeting shall be called.
This new Constitution was adopted at the Annual General Meeting held on Tuesday, December 2nd 2025.
